Key Responsibilities:- Corporate Governance Support: We are seeking a diligent Legal and Compliance Associate to provide vital support to our department on all work and tasks. This includes maintaining and updating corporate records, such as articles of incorporation & annexes, minutes of board meetings & general assembly, MOC & KSE related documentations & issues, and Custodian of records of shares. The ideal candidate will also advise the board and senior management on corporate governance best practices and compliance issues.
- Compliance and Risk Management: Our team is responsible for monitoring changes in laws and regulations relevant to our operations and ensuring we remain compliant. The successful candidate will assist in drafting, reviewing, and updating contracts, agreements, and legal documents. Additionally, they will monitor company activities to ensure ongoing compliance with established policies and regulations, investigating any violations and taking appropriate actions to rectify situations and prevent future breaches.
- IPO Preparation and Support: In preparation for an initial public offering (IPO), the Legal and Compliance Associate will assist in drafting necessary IPO documents, structuring securities being offered, conducting due diligence to ensure accurate and complete disclosures, and obtaining required regulatory approvals for the IPO.
- Legal Advice and Guidance: As a key member of our team, the Legal and Compliance Associate will provide legal advice and guidance to our management and various departments on a wide range of legal matters, including contracts, regulatory compliance, corporate governance, and litigation. They will identify potential legal risks facing the company and develop strategies to manage and mitigate these risks.
- Contract Management and Administration: The successful candidate will be responsible for creating and managing legal contracts and consequential correspondence on behalf of the company, involving assisting with contract negotiations, analyzing contract risks, and ensuring parties fulfill obligations under contracts.
- Policy Development and Implementation: To mitigate legal risks and ensure compliance with applicable laws and regulations, the Legal and Compliance Associate will create corporate policies and procedures. They will guide the company's actions and decisions in a legally compliant manner, ensuring that employees across the organization are aware of and adhere to legal and compliance policies.
- Communication and Collaboration: As a liaison between the legal department, other departments, and external stakeholders, the Legal and Compliance Associate will prepare and distribute internal communications related to legal and compliance matters, addressing employee inquiries and concerns professionally and promptly.
