The Legal and Compliance Associate plays a vital role in ensuring the company's compliance with laws, regulations, and best practices. This position involves providing support to the Head of Department in the Legal Department in various aspects of legal affairs.
Key Responsibilities:
- CORPORATE GOVERNANCE: Maintain and update corporate records, including articles of incorporation, minutes of board meetings, MOC & KSE documentation, and custodian of records of shares. Advise the board and senior management on corporate governance best practices and compliance issues.
- LEGAL COMPLIANCE: Monitor changes in laws and regulations relevant to the company's operations and ensure compliance. Assist in drafting, reviewing, and updating contracts, agreements, and legal documents. Liaise with external counsel when necessary.
- IPO SUPPORT: Assist in preparing necessary IPO documents, help structure securities being offered, conduct due diligence to ensure all required disclosures are accurate and complete, and obtain necessary regulatory approvals for the IPO.
- COMPLIANCE MONITORING AND INVESTIGATIONS: Monitor company activities to ensure ongoing compliance with established policies and regulations. Investigate violations and take appropriate actions to rectify the situation and prevent future breaches.
- LEGAL ADVICE AND COUNSEL: Provide legal advice and guidance to the company's management and various departments on a wide range of legal matters, including contracts, regulatory compliance, corporate governance, and litigation.
- RISK IDENTIFICATION AND MANAGEMENT: Identify potential legal risks that the company may face and develop strategies to manage and mitigate these risks.
- CONTRACT MANAGEMENT: Responsible for creating and managing legal contracts and consequential correspondence on behalf of the company.
- LEGAL ADVICE TO SENIOR MANAGEMENT: Provide legal advice and guidance to senior management within the company covering a wide range of legal issues.
- MANAGE AND COORDINATE LEGAL TASKS: Oversee and manage various legal tasks and activities within the company.
- POLICY AND PROCEDURE DEVELOPMENT: Create corporate policies and procedures to help mitigate legal risks and ensure compliance with applicable laws and regulations.
- CORPORATE COMMUNICATION: Prepare and distribute internal communications related to legal and compliance matters.
- CLIENT RELATIONS: Build and maintain strong relationships with clients, addressing their inquiries and concerns professionally and promptly.
- CASE MANAGEMENT: Assist in organizing and managing legal cases.
- ADMINISTRATIVE SUPPORT: Manage and organize legal documents and files, ensuring accessibility and confidentiality.
