Job Overview

This role is responsible for providing support to the Head of Department in the Legal Department. The ideal candidate will have excellent communication skills, be able to work independently, and have a strong understanding of corporate governance and legal compliance.

Key Responsibilities
  1. Corporate Governance: Maintains and updates corporate records, including articles of incorporation & annexes, minutes of board meetings & general assembly, MOC & KSE related documentations & issues, and Custodian of records of shares.
  2. Legal Compliance: Monitors changes in laws and regulations relevant to the company's operations and ensures compliance. Assists in drafting, reviewing, and updating contracts, agreements, and legal documents.
  3. IPO Support: In preparation for an initial public offering (IPO), assists in drafting the necessary IPO documents, helps structure the securities being offered, conducts due diligence to ensure all required disclosures are accurate and complete, and works on obtaining the necessary regulatory approvals for the IPO.
  4. Compliance Monitoring and Investigations: Monitor company's activities to ensure ongoing compliance with established policies and regulations. Investigates violations and takes appropriate actions to rectify the situation and prevent future breaches.
  5. Legal Advice and Counsel: Provides legal advice and guidance to the company's management and various departments on a wide range of legal matters including contracts, regulatory compliance, corporate governance, and litigation.
  6. Risk Identification and Management: Identifies potential legal risks that the company may face and develops strategies to manage and mitigate these risks, including staying up to date with changes in laws and regulations that may affect the company.
  7. Contract Management: Responsible for creating and managing legal contracts and consequential correspondence on behalf of the company which involves assisting with contract negotiations, analyzing contract risks, and ensuring that all parties involved fulfill their obligations under the contracts.
  8. Legal Advice to Senior Management: Provides legal advice and guidance to senior management within the company covering a wide range of legal issues, including strategic decisions, risk assessment, and compliance matters.
  9. Manage and Coordinate Legal Tasks: Oversees and manages various legal tasks and activities within the company including liaising with internal and external stakeholders involved in legal matters.
  10. Policy and Procedure Development: Creates corporate policies and procedures that help mitigate legal risks and ensure compliance with applicable laws and regulations and guides the company's actions and decisions in a legally compliant manner.
  11. Corporate Communication: Prepares and distributes internal communications related to legal and compliance matters. Ensures that employees across the organization are aware of and adhere to legal and compliance policies.
  12. Client Relations: Builds and maintains strong relationships with clients, addressing their inquiries and concerns professionally and promptly.
  13. Case Management: Assists in organizing and managing legal cases, including maintaining case files, tracking deadlines, and coordinating with other team members and external parties.
  14. Administrative Support: Manages and organizes legal documents and files, ensuring accessibility and confidentiality. Acts as a liaison between the legal department, other departments, and external stakeholders. Assists in the preparation and submission of regulatory filings and reports.
  15. Other Duties: Any other work requested by direct manager in management, which is related to the company's business and interest in general and the work of the legal department in particular.
